Terms & Conditions – AYTA ATELIER (Online Art Sales)

These Terms & Conditions (“Terms”) govern your use of the AYTA ATELIER website and any purchase of artworks, prints, and digital files from us.
By accessing the site or placing an order, you agree to be bound by these Terms.
These Terms are drafted for the UK and do not limit your non-excludable consumer rights (including the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013).

We sell original artworks, limited-edition prints, and digital downloads for personal use. Digital downloads for personal use
2) Definitions

Original Artwork: A one-of-a-kind physical work (often signed) and may include a certificate of authenticity.

Limited-Edition Print (“Print”): Fine-art print produced in a stated edition.

Digital Download (“Digital File”): High-resolution file provided electronically for personal printing/display.

Commissioned Work (“Commission”): Work created to your brief/specifications.
3) Ordering & contract formation
Your order is an offer to buy. We accept only when we send an Order Confirmation / Dispatch (or “Ready to Download”) email. We may decline or cancel any order (e.g., pricing or stock errors, suspected fraud). If we cancel after payment, we will refund you in full.
4) Prices, payment & fraud prevention
Prices are shown in GBP unless stated otherwise and may change without notice before you check out. Payment is taken by approved processors (e.g., Stripe/PayPal/Apple Pay). We may use anti-fraud checks and suspend or cancel orders and accounts at our discretion. You agree not to make fraudulent or abusive chargebacks; we may contest chargebacks and seek recovery of fees and reasonable costs arising from misuse, to the extent permitted by law.
5) Delivery (physical items)
Estimated delivery windows are indicative only. Risk of loss passes on delivery; title passes only once we receive cleared payment in full. Please inspect parcels on arrival and report transit damage within 48 hours with photos of the item and packaging.
6) Right to cancel & returns
We follow UK law while setting clear limits:
6.1 Originals & standard Prints (non-personalised)
For distance sales, you usually have 14 days from delivery to cancel (Consumer Contracts Regulations 2013). You must take reasonable care of items and return them in their original condition and packaging within 14 days of cancellation. You bear return costs unless we sent the wrong/defective item. We may deduct for any loss in value caused by handling beyond what’s necessary to establish the nature, characteristics, a,nd functioning of the goods.
6.2 Personalised / made-to-spec items
Works that are made to your specifications or clearly personalised (including special sizes/frames) are non-cancellable and non-refundable once production has started, unless faulty.
6.3 Digital Downloads
By selecting instant download ,you expressly consent to immediate performance and acknowledge that your 14-day cancellation right ends when the download begins. Digital files are non-refundable.
6.4 Commissions
Commissions require a non-refundable deposit (typically [●]%). Milestones, review rounds and delivery dates are indicative. If you cancel after work has begun, a kill fee up to the full price may apply proportionate to work completed. Final files/works are released after full payment.
7) Condition, colour & sizes
Minor variations in colour/contrast between the on-screen display and the physical print are normal. Dimensions are approximate with small tolerances. Environmental factors (light, humidity, heat) affect longevity; please follow any care guidance—we are not liable for damage caused by improper hanging, display, storage, or cleaning.
8) Intellectual property & licences (strict)
All copyright and moral rights remain with us/the artist unless expressly assigned in writing.
8.1 Physical purchases
Buying an Original or Print does not transfer any copyright. You may display the physical item privately. Any reproduction, scanning, resale of reproductions, merchandising, NFTs, or use in advertising requires a separate written licence.
8.2 Digital Files – Personal-use licence only
Upon full payment, we grant you a non-exclusive, non-transferable, revocable licence for personal use only:

You may print for private display at home or as a personal gift (not for sale).

Prohibited without written permission: any commercial use; uploading or sharing full-resolution files; minting as NFT; resale of files or prints; editing, removing watermarks/metadata; distribution on stock sites; training AI models; or creating derivative works for sale.

We may embed visible/invisible identifiers to trace unauthorised distribution. Any breach terminates your licence automatically and may lead to civil/criminal action and takedown requests.
8.3 Social media
Posting a low-resolution photo of your purchased physical item in a personal, non-commercial context is fine with credit to AYTA ATELIER. Do not post or share the high-res file or enable downloads.
9) Misuse, enforcement & indemnity
We monitor for infringement. You agree to indemnify and hold us harmless from claims, losses, and reasonable costs (including legal fees) arising from your breach of these Terms or unlawful use of our works, to the maximum extent permitted by law.
10) Site access & acceptable use
Do not scrape, mine, or attempt to bypass security, watermarking, or download limits. We may limit, suspend, or terminate accounts or access at our discretion if misuse is suspected.
11) Warranties & liability
We warrant that the goods will be of satisfactory quality and match their description. To the maximum extent permitted by law:

We exclude all implied warranties not mandated by law.

We are not liable for indirect, consequential, or special losses, loss of profit, data, goodwill, or business opportunity.

Our total liability for any order shall not exceed the amount you paid for that order.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or other liabilities that cannot legally be limited.
12) Privacy
We process personal data per UK GDPR and the Data Protection Act 2018. See our Privacy Policy for details.
13) Force majeure
We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., strikes, carrier failures, epidemics, customs delays, extreme weather, utility outages).
14) Governing law & jurisdiction
These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of its courts, subject to any mandatory consumer protections of your residence.
15) Changes to these Terms
We may update these Terms. The current version applies at the time you order or use the site. Material changes will be posted on this page.
